what is the procedure of declaring dividend and the calculations for pvt. ltd. company?

According to me dividend cannot be declared without recommendation from the Board so first need to hold a board meeting and before meeting announcement for book closer for calculation of dividend should be made. The name of the person at that time in the member register are liable for dividend and it is calculated as per the member holdings. Than hold the general meeting and decision can be taken.
