I have query related to Directors Report as follows:
1. As per Section 217 of the Companies Act, 1956 Directors Report
• should be taken in Board Meeting
• should include all the relative information till the date of the respective Board Meeting
• should be signed on that date
2. Kindly advise about below hypothetical case
• 1 sept :- accounts adopted in BM and directors report signed. No mention of Addl Director & WTD to be appointed on 2nd Sept.
• 2nd Sept:- another board meeting - Additional director, WTD appointed.
• 3rd Sept:- AGM notice issued mentioning about addl director and WTD .
Conclusion : 1) Is the above case valid, as Directors Report & Notice will not match on point of directors matter

As on date of signing of director report you will mentioned details of director whether it is additional or WTD.

There after if you adopting draft notice of AGM then you will give the details in notice as per date of adoption of notice.

There may be possibility your director report and notice will not match with director details.

So I will suggest you to give the details of directors as on date of signing and AGM differently.
