Conversion of a partnership firm into a private limited comp

Please provide me with the procedure and list of e-Forms to be filed with ROC for Conversion of a Partnership Firm into a Private Limited Company.

Also kindly confirm if any stamp duty is applicable for such conversion.

Please note that the Partnership Firm has only two partners.

01 March 2013 Dear Sir,

Thankyou for the information provided by you, it is very useful.

However, i need to confirm the procedure to convert a Partnership Firm into a Private Limited Company.

As per my understanding the said procedure will be as detailed below:

1. E-Form 1A- to be filed for Name Availability.

2. E-Form 18 and 32 are to be filed with ROC.

3. E-forms 1, 37 and 39 are to be filed with respective attachments with the ROC.

After due verification, the ROC will issue a Certificate of Incorporation.
