02 July 2011 Our company is public limited listed with BSE, we want to pass a resolution for the approval to pay commission to non- executive directors in the general meeting. but before that we want to amend article of association for the same. Kindly give me the format of resolution for the change of article of association for paying commission to non-executive directors.

02 July 2011 Article of Association of the company can be altered only by the Special resolution...

Resolved that pursuant to the provision of Section 30 of the Companies Act 1956 the Meeting decided to alter clause No...... of the Article of Association of the company by substituting the following clause....

(i).....................
(ii)..................... as per your requirement.

Further Resolved that Shri.......... Director or Secretary of the company authorized to do the formalities to file the amended AOA with ROC along with prescribe Fee.

02 July 2011 thanx. But can we pass both resolutions ie. resolution for ammendment or insertion of new article and approving commission to non executive directors in same Annual General Meeting
