23 March 2012 our company filed on 13/10/2011 e-form 23 for increase in authorised share capital

the proposal for increase in share capital at that time was form 10 lakhs to 5 crores


but did not file form 5



now on 15th march 2012 the board decided to increase it form 10 lakhs to 2 crores

what is the procedure to effect the change
whether is it possible to cancel the earlier resolution

No, if shareholders has already passed the resolution for increase of share capital and you have intimated the same to ROC in Form-23 on 13/10/2011, then it is required to file Form-5 with ROC with additional payment.


You can not rectified the same in next general meeting.
