Change in the name of a company

07 September 2012 Actually in a case of change of name of private limited company i have filed form 1A with a notice convening egm before 3 days. So I want to know what should i do now. As per law shorter notice can be given. so should i take consent letters from member or give a letter to roc for mistake in date of notice.

You should file Board Resolution for change of Name in Form1A.Notice of EGM is not required to be attached in Form-11A.

After approval of name you will attached in Form-23 Notice of General Meeting, consent of members for shorter notice, Altered MOA/AOA and certified copy of general meeting for change of name.

In Form-1B, you should attached minutes of General Meeting.

07 September 2012 Now you call Board Meeting for Following:

1. Change of Name
2. Alteration of MOA
3. Alteration of AOA
4. Draft Notice of General Meeting

Hold General Meeting for change of name and pas the same resolution.

File Form-23 with above mention annexures.
File Form 1B with ROC.
