Change in Name and Object of the Company.

16 February 2011 If a company wants to change its object which does not relate to its name? The company needs to change the name and object both. Plz. let me know the procedure to be followed for change of object and name of the company.

17 February 2011 1) Pass Board resolution for change in name and objects
2) Ascertain name availability by filing Form 1A
3) After approval of name by ROC, convene EGM and pass Special Resolution for both change in name and objects.
While changing objects make sure that it complies with Section 17(1).
4) File Form 23 alongwith notice of EGM, explanatory statement, resolution passed in EGM and altered MOA / AOA.
5) Get a certificate from ROC registering the changes.
6) Effect changes in all copies of MOA / AOA, letter heads, name boards, etc.
