Tax treatment

Dear Experts,
Namaste!
I have a small query regarding a tax planning.
Here is the situation, “A Holding Company say M/s H Plc., registered in Europe has a subsidiary company in India say M/s S Ltd. registered in India , M/s H Plc. has agreement with employees of M/s S Ltd., that if the holding company will be sell out in future then some consideration / incentives will be given to the employees of M/s S Ltd.
Now, the Holding Company been sold/ amalgamated and all the conditions been fulfilled hence part of gross receipt has distributed to the employees of the Indian subsidiary company. The proceeds received directly from Europe in the employee account in Indian Rupees.
Now my questions are:
1. Whether M/s S Ltd., the Indian Subsidiary company is required to account for in its books for the transaction?
2. If yes then what will be treatment in the books of M/s S Ltd.
3. Whether it can be shown as ESOP/perquisites or to be shown as incentives as part of salary.
4. What remedy/tax planning available with the recipient employees of the Indian company? for the sum received from M/s H Plc.
5. Whether the employee can treat the sum as capital receipt/capital gain, accordingly he/she can save tax by investment u/s 54 of Income Tax Act,1961.

Wife had received compensation from General Insurance Company on road accidental death of her husband to the tune of Rs 350000. Whether this all sum of Rs. 350000 is taxable in the hands of wife? Is there any exemption for this receipt? Whether this is capital receipt ?

Industrial training

I am CA Final student,and pursuing second year of article ship.

My Query is that, is it possible that i will start my industrial training at 1-Oct-2014 & end up at 30-June-2015 (9 month)?

Tds on transporters

IN 194 C ,FREIGHT AMOUNT , TDS IS EXEMPTED FOR TRANSPORTERS HAVING PAN . IS IT AVAILABLE FOR OCEAN FREIGHT ALSO OR ONLY FOR ROAD TRANSPORTERS

Is DIR 8 required to be attached with form MGT 14 while filing MGT 14 with ROC ?

Article ship termination in 1st year ?

Dear Sir,

I m join in IPCC articles 28.10.2013 under direct entry scheme. Due to some personal problems i want to termination my articles in 28.10.2014.
i will attempt my exams (Group 1) in November14

After termination of articles i will be eligible to attempt exams IPCC (Group1 and Group2)?

A.co of Bangalore has received order for B.co of Noida and. Goods Consigned to C.co of Clearing House agent for exporting the goods to Poland . In this case who is required to apply for ARE-1 form ?
