One of my client's company got incorporated on 30-03-2012 i.e last day of financial year 2011-12.Is filing of annual returns for financial year 2011-12 is mandatory or there is relaxation for this types of cases?

One of my UK client opened an Private Limited company in India doing IT business. He is owing 50% share capital of the company i.e. Rs 50,000.
I want to know that is there any requirement to intimate RBI for this..?? and if Yes, which form have to file with RBI and what will be the time period for this..??

thanks so much for reply, plz let me know that if foreign exchange & earings are given in usd only in the director reports and not anywhere mentioned in the balance sheet/p& l account and notes to accounts of the co. then how will fill this details in the form 23 ac.

As per RBI rules a NBFC has to submit its "Annual Accounts" by 30th June every year. Now, if balance sheet was signed in september and ROC related all the reuturs are uploaded.

Is there any penalty for non compliance of RBI rules?

OR

Already Uploaded ROC returns can be revised by changing the balance sheet signing date?
