We are well aware that the fully paid up shares can be transferred/ transmitted to a minor, provided the name of the guardian and not that of the minor is entered in the Register of members.

My query is Can a minor ( through guardian ) transfer those shares.

Can Company appoint auditor in a single meeting for a period of say 2 years? or 3 years? i.e. more than one year under existing law?

because there is new provision in companies bill 2012, about appointment of auditor. i.e. company can appoint auditor for 6 yrs. in a single meeting.

Please guide.

If an employee is appointed as a director in a private company, then will it be sufficient if SR is passed approving the said appointment or CG approval will also be needed?

we are finalising balance sheet of a private limited company which is incorporated in January 2012. We have prepared revised sch VI for 15 months as on 31.03.2013.
Whether we have to prepare two balance sheets for tax audit purpose i.e. from Jan 12 to Mar 12 and from 1.4.12 to 31.03.13.
Whether we are required to give tax audit report in form no 3CA or 3CB as the period of balance sheet is different under co act and under IT act.
What heading we should give for previous year column?

if any annual increment is paid to MD, does it amount to revision of remuneration?

if yes whether approval of Board and Shareholder is required?

Dear Experts

One of my new clients (Pvt Ltd) changed the registered office address within the same city limits. The form 18 & other formalities were done in order. However, I later came to know that the PAN was not applied with IT Dept. Now as the address is changed as per ROC Records but the Certificate of Incorporation shows the old address, how do i apply PAN? The TIN-FC requires the Incorporation Certificate as the only proof & they are not ready to accept anyother proof.

What is the way out to apply PAN at the New Address?

In a company re-appoinment of WTD & Chairman was done in the year 2008, through an agreement between directors & company ,and in baord meeting .All the required forms were filled with roc but the matter was not put for the shareholders approval. And the fault was discover in the year 2013,whatcan we do in this matter, is there any way to ratify this? please help as its urgent matter.

Please guide as to the mode of delivering notice of board meeting and other meetings. Is it compulsory to deliver the notice physically in writing or the notice may be delivered via electronic mail?
