I have query as follow: -

while viewing company information regarding signatory details I received message as : -

The company is in default of filing of Form DIN 3/ Form 32

So now what I want to do?
As this company is regd before 2002 & not filed any forms/ annual returns/ statutory compliance regarding ROC.
If I want to regd director name what is the procedure?

Company has shifted its regd office from one roc to another but within same state. Now company has to file forms viz. 23, 1AD, 21 & 18.

Relating to above my queries are-

1. In which newspaper advertisement should be given about shifting of regd office? In 'english & local' or one of them is sufficient? Also give format if it is with you.

2. What is the procedure to resolve the complaints from investors?

3. If the company is private company, with 2 directors, can company decide the matter & call general meeting on same day i.e. on day of board meeting & pass special resolution thereat?

A pesron has applied for DIN number 3 months back, but now has lost both DIN as well as SRN number. Can we track the DIN number through PAN number or any other personal details of the person?

How to know if the company is authorized to issue purchase invoice and import goods by the name they are doing business.

we have to file fcgpr form along with CA CS Certificte.
I would like to ask that CA CS certificate should filed by Practising CS or Whole time Company Secretary can file it.

S Ltd. is a subsidiary of H ltd, where H ltd. holds 51% shares in S ltd. State whether A Ltd is a subsidiary of S ltd. or H ltd in the following cases-

We are facing a unique problem this year . Our company has filed Form 24AA (Director's interest) on 30-3-13 as 31-3-13 happens to be a sunday. The auditor wants a revised form 24AA dated 31-3-13

Similarly , 274(1)(g) has been dt 30-3-13 as 31-3 is a sunday and director's were not working on that day. The auditor is arguing that CARO specifically states that 274 (1)(g) declaration should be obtained as on 31-3-13. To comply with this we have got a revised declaration as on 1-4-13. But this is not accepted by auditor as they say it is for next financial year!

Can anyone enlighten based on the companies Act provisions in such cases

Hello friends

I hv 2 appoint a director in a public co and at the same time i hv 2 resign a director from that company. The Co has 3 directors at present.
If the consent letter of a director has been received on 05.04.2013 and a resignation letter has been recd on 30.04.2013. how should i proceed.
Also, i wanna clarify that if i show eogm for the appointment of director the eogm is held before the consent letter is recd or after the consent letter is recd the co hold eogm.
