Greetings Expert!! There is a Pvt ltd company located in mumbai which last conducted activity in f.y 2004-05. Thereafter company has not conducted any activity. Also company has not filed any return in ROC since then till today. Moreover, its director have not taken DIN and had not made any compliciance since then.Directors r not directors in any other company.Now they want to resume company...wht is option available so that cost is minimum and they do not have to face any prosecution ( Note : Company had not conducted any AGM since 2004. In short it was as good as closed)... Directors do not want to enter into fast track exit scheme since company own some non transferrable intangible asssets

What all procedures are required to be followed
for re-appointment of Joint managing director and Executive director at the expiry of their term?
Whether form-32 is again required to be filed
along with form-25C and if yes then within what time?

b) To carry on and procure insurance (Life/Non-life) business as a corporate agent/broker and loss assessment on behalf of the general insurance Firm whether in Government sector or Private sector, may be caused due to marine risk, fire, burglary, theft, break down, loss and profit, boiler, motor claims or any other form losses at money, agent for collection of insurance premium. Dear Sir,

In case of a pvt ltd company one charge was created on it and the company did not filed the form- 8 with in 30 days. Charge was created on 10.02.2013 and form- 8 was filed on 26.02.2013. ROC was seeking for condonation of delay for which we got several reminder but client did not filed it.

Now they are going to take a fresh loan from the same co. Now my questions are:

--Whether they can register a fresh charge without clearing the condonation of old one?.

---What is the status of old loan as i got an email from the ROC that the Company which has taken loan they would be marked NTBR (Not to be taken on record) necessitating you to do fresh filings again.

I need clarification regarding Section 260 (Additional Director) and Sec 257 of the Companies Act 1956.

Ms. Anbarasi and Ms. Valli are the Directors of the Private Limited Company.

on 07/05/2011 Mr. Ramesh Appointed as Additional Director(as per sec 260) of the company on the same day Ms. Valli was resigned from the directorship.

At this situation one Director (Ms. Anbarasi and one Additional Director (Mr.Ramesh)are the Directors.

For Private Limited Company Minimum No of Members Should be at least 2.

As per sec 260 additional directors shall hold office only to the date of the next annual general meeting of the company.

The AGM was held on 30.09.2011, on the date of AGM Mr. Ramesh Additional Director automatically vacated his office.

My Question:

If Mr, Ramesh want to continue Directorship procedure to appointment of Directors Should be follow? (such as issue of 14 days notice and Deposit of Rs. 500,ect....as per sec 257)

Kindly advise me how to appoin Mr. Ramesh as director in AGM

In an AGM, where chairmanship is changed to another to pass a particular resolution.

And after passing the resolution, the old chairman will occupy the chair.

How to record it in minutes? any formats?
