A private company (not a subsidiary of any company) had Board Meeting on 13.09.13 for adoption of accounts for it’s AGM on 30.09.13.


Is it mandatory to get Consent from Shareholders to the extent of 95% in view of the enactment of Companies Act, 2013. Kindly confirm and clarify – please.

I am unable to upload MCA forms with Win 7 & Internet Explorer 8.
How do we adjust settings in Win 7 to upload MCA forms?
After upload, a message comes - 'Prescutiny validations have failed' & stops here, but the same form is getting uploaded from a PC with Win 7.
Please advise.
I had to upload same from another PC with Win XP.

We are done with our Board Meeting AGM and reappointed the statutory auditors for the next year.

But the management now wants to change the auditors. So, do we need to hold the Board Meeting and AGM again for revocation of appointment of already appointed auditors and appointing the new auditors.

my question is a pvt. ltd. co. wants to take unsecured loan from its group cos. it issue nominal shares to that co. so that the co. becomes its member and the provisions of section 58A is not applicable to the co. so is it a right process or not?

I want to increase the authorised share capital of my company from Rs. 50.00 Lacs to Rs. 1.00 Cr. and it well with in the powers of the MOA & AOA. There is no need to amend the AOA.

One XYZ Pvt ltd co is registered with RoC Hydrabad. The corporate address is shown at Hydrabad. The directors of residents of Mumbai. The company is still active and running its branches at Mumbai. There is no presence of the company at its registered office at Hydrabad. Even a letter is addressed to that Hydrabad office it will return as unserved endrosing as "No such firm in the said address".

My question is
1] Is it not mandatory to have operating business office at registered address? if so, what is the punishment for breach of such condition?

Dear all,

Supose the Auditor appointed in the last AGM was ABC for the FY 2012-13.

But in Form 3CA & 3CB for the FY 2012-13, we have filed in the name of XYZ auditor.

Now can we pass a special resolution in this AGM to change the auditor or shall we conduct an egm BACK DATED ???
