No doubt the companies act 2013 is applicable to Nov'14 Attempt for CA Final. But Which provisions are covered in CA Final Syllabus or provisions of the whole act is applicable for CA final. Please help me in this regard.

the mater is as Follows" One of our Client is a Private ltd. Company which obtained a term Loan from a nationalised bank .The date of Documentation is 24/07/2013 whereas the date of sanction is 05/08/2013.But the Form 8 has not been filled with ROC Yet.So,Please Guide me about the Further Procedures & Requirements in this mater".

i have to file form 32 for an appointment of whole time dir of public listed company which is approved by Board and egm will be conducted with in 21
days my qustion is wether 1.i have to file 2 forms (form 32)
one as additional director and then second as whole time director at time or i have to file after egm is held.
(in short procedure to file form 32 for the app of whole time director)

I have query related to Directors Report as follows:
1. As per Section 217 of the Companies Act, 1956 Directors Report
• should be taken in Board Meeting
• should include all the relative information till the date of the respective Board Meeting
• should be signed on that date
2. Kindly advise about below hypothetical case
• 1 sept :- accounts adopted in BM and directors report signed. No mention of Addl Director & WTD to be appointed on 2nd Sept.
• 2nd Sept:- another board meeting - Additional director, WTD appointed.
• 3rd Sept:- AGM notice issued mentioning about addl director and WTD .
Conclusion : 1) Is the above case valid, as Directors Report & Notice will not match on point of directors matter

Can A Pvt. ltd. company take a goodwill loan from friends, Relatives & other company directors on behalf of this company directors are also in other group company directors
