Hi,I want to know if any director of the company is resigning and the authorised capital of the company is one lack.Resigning director having share 7.5%.Company gave 10,000 advance to the resigning director in previous month.Now what should be the procedure of buyback of shares.Can you explain in detail.

A pvt. Ltd. Co. Was Incorporated in 2004 and neither procedure for getting 'certificate to commence the business' had been followed nor business activity has been carried out until today.
Company has 'Dormant' status on MCA website.

But now director of company wanted to revive his company.

In this case , What procedure should be made for getting a 'certificate to commence the business' and changing the status from 'Dormant' to 'active' of such comapny ?

she is first director and now she wants a resolution to show that she is a sleeping director and not involved in anything !



"RESOLVED that Shri Hema Sharma, being a First director, be a Non Executive Ordinary Director and thereby disengaged from day to day business oprerations and activities of the company."

I am an article undergoing my last year of articleship. I have this querry, whether a CA article act as a director In a private limited company?

I hv incorporated a company on 20/03/2013. according to companies act, first AGM can be held within 18 months of the incoropartion, according to this due date for first AGM will be 19/09/2014.

Now my question is this-
company will adopt the accounts for 31/03/2013 only in that first meeting or accounts for March 2014 will also be adopted in this meeting.

If No, then will company required to held a seprate AGM for 31/03/2014 and what will be the due date for that 2nd AGM.

can someone pls suggest me for ca final law subject which author book to be refer for study.....

we want to restart 2 of our group companies one of which has been struck off and the other is in default of not filing din and returns. both are private limited companies.

Can a company struck off can be restarted? if yes then can anyone please help me with the process for the re incorporation?

Dear Sir,
I have a company having a word "Capital" in its name since incorporation.
The issue is that we have to convert the company into LLP and submitted Form 1 to the ROC. The query arises from the ROC that the company should have to provide NOC from RBI because the company have a nature of NBFC as indicated by the word in its name "capital".

Later on , I think that it is better to change the name of company than getting NOC from RBI and submitted FORM IA for change the name of the company by removing the word "Capital " from its name. But the same query arised again that you should have to get NOC from RBI.
For Your Reference The company does not have an object in the memorandum to carry the business as NBFC.

Therefore , Please guide me the best possible way to resolve the issue and procedure to get NOC from RBI or whether any other way is there to overcome from this problem.

Please clarify in details.
