29 November 2013 she is first director and now she wants a resolution to show that she is a sleeping director and not involved in anything !

"RESOLVED that Shri Hema Sharma, being a First director, be a Non Executive Ordinary Director and thereby disengaged from day to day business oprerations and activities of the company."

please suggest IF THE FORMAT IS DESIRABLE! THERE ARE ONLY TWO DIRECTORS AND IT IS A PRIVATE LIMITED COMPANY AND TELL ME THAT IT SHOULD BE VIA GENERAL MEETING RESOLUTION OR BOARD RESOLUTION

29 November 2013 Board Resolution shall suffice fort the same.

Being first director doesnt mean that she is an executive director. Just check form 32 filed at the time of incorporation to confirm whether she was appointed as executive/non-exe.

In case, she is apointed as exe. dir u just need to file form 32 for change in designation Within 30 days of the change.

01 December 2013 mam i checked the form 32. it sais that she is appointed as director. there is no information as to executive or non executive.. so i think i dont need to form any form at mca. i will just make the resolution. am i right ?
