A private limited company is being registered. What is the process to allot shares to a person other than a director of the company?

We have to open bank account,but the co.was formed in 1970 & director appointed @that time.We have inspected @registrar in Mumbai but record of form 32 & 18 for the same not found.
At mca website director of companies are showing.

So far ac.opening what shall we do?

I applied form 1A dated 07.12.2013 . Due to mistake I Clicked on the point No.8 in Form 1A while filing of the same. I received name approval letter within 1 min. My Question is " Can i apply form 1,18,32 for the same srn number. Is it not backout from mca if already name exist in mca site.


How can I confirm the name not existing in MCA site.

A PVt LTd. Company's AGM held on 26.09.2013 and the Company informs the auditor about his appointment on 04.12.2013 then what are the consequences of this delay :-

and for auditor

Company formed on 14.11.2008.
Now in this case, I would like to know what will be the first financial year ending (periods of accounts) and also the date of AGM. Kindly give your suggestions as soon as possible. Thanks in advance

My private company incorporate on 12th march,2012. at the time of incorporation company has issued subscribed share capital to the 2 director amount of Rs 100000, 10000 shares of 10 each. after that, company has again allotted share capital of Rs 400000, 40000 shares of Rs 10/- each.
My question is In form 23AC under part IV. share capital raised during the reporting period, i have shown 400000 or 500000 shares capital.
Is subscribed shares capital amount inculuded in the amount which has shown in form 23AC part iv?

Please solve the following queries:

1) Do the New Companies Act draws the provision of interested director for private Companies?

2) If yes then , since most of the Private Companies cover the interested composition of Directors or Shareholders....how it will be managed?

Any one please tell the section number for alteration of MOA & AOA (for name change) in the revised companies act 2013. very urgent,,..

A Pvt Ltd Co. with 2 directors, one in India and other outside India when AGM is held by video conference. Is there any requirement to keep the record of it. How do we prove the meeting held?
