Sir,
A PVt LTd. Company's AGM held on 26.09.2013 and the Company informs the auditor about his appointment on 04.12.2013 then what are the consequences of this delay :-

Co law provision is violated and there will be no valid appointment as there was delay of more then 2 months in informing auditor.
Again a fresh resolution is required to be passed and initimate auditor within time u/s 224.

The Penalty is not defined. The ROC can demand explanation from company under section 234 of the Companies Act, 1956.
For Auditor he will file Form-23B with late fee and take reimbursement of that late fee from company.
