Section 173(5) of compsnies act 2013

please clarify whether as per sec 179(5) small co. (pvt. co.) has to maintain minimum 90 daysi gap between two board meetings??

If small co. needs to pass board meeting more than two times still it has to maintain this 90 days gap??

Filing of mgt-14

We have appointed independent directors in AGM. Is it necessary to file MGT-14 for their appointment. We have passed ordinary resolution in AGM for their appointment.
