09 October 2014 please clarify whether as per sec 179(5) small co. (pvt. co.) has to maintain minimum 90 daysi gap between two board meetings??

If small co. needs to pass board meeting more than two times still it has to maintain this 90 days gap??

09 October 2014 No.

A small company may hold only two board meetings in a year, i.e. one Board Meeting in each half of the calender year with a minimum gap of ninety days between the two meetings.

In case small company hold only 2 board meeting in a year they have to follow above rules.

Companies Act, 2013 does not prohibit small company from holding more than 2 meetings.
