As per notification no.G.S.R 464(E) dated 5th June 2015,In Chapter VII,Clause (g) of Sub-Section (3) of Section 117 relating to resolutions passed in pursuance of Sub-Section (3) of Section 179 shall not apply for private limited companies.It means now there is no need to file board resolution with ROC(MGT-14) for disclosure of director's interest and shareholding.Suggest whether I am correct or not.

As per notification no.G.S.R 206(E) dated 18th March 2015,In the Companies (Meetings of Board and its Power) Rules 2014,In Rule 8 item no.(5) relating to take note of the disclosure of director's interest and shareholding by BOD only by means of resolutions passed at meetings of the board shall be omitted.Accordingly,now there is no need to pass resolution for disclosure of director's interest and shareholding and hence MGT 14 is not required to be filed.Suggest whether i am correct or not.
