In case of right issue, can after renunciation, shares b issued to Nri at price higher than right issue and to others at right issue price.

Can anyone please clarify the sentence "Break in the term for a continuous period of 5 years will be considered as fulfillment of criteria of rotation"?? if one auditor has retired from office after holding 2 years and took a gap of 2 years and again appointed for the same company for a period of 3 years. isn't cooling period of 5 years apply??

if a company gives loan to directors, it can be taken as deemed dividend... But what if directors give loan to company...

simply asked, what are legal problems and remedies if directors give loan to a private ltd company ??

Lets start with example a company name "A"(USA) have reimburse the expenses of "B" (India) in FY 2012-2013. which is outstanding as balance in balance sheet of "B" amounting to 15 lakh till FY 2015-2016 . Relation between "A" nd "B" is holding and subsidary i.e. A is Holding.
In the balance of last year a notes is shown that it is non compliance of FEMA .
Also there is no reporting to RBI .


Should we make the payment or what should we do ? Also there is non compliance of FEMA then How?

Please clear the provision regarding this .

Also In Form DIR.12 their no option of CEO. then what form should I upload ?

Respected Sir, one company to whome CSR applicable has made donation to the Charitable Trust of which one of additional director of that company is trustee in that company. The main purpose of that trust is only to carry charitable activities. Will this donation will be considered eligible as CSR contribution or not. Kindly reply & do needful.
