Plz help me in knowing the procedure & formalities to start gratuity trust.Like all forms, approvals, LIC agreements, bank formalities. & procedure for transfering the gratuity of employees from 1 entity to other in case of transfering employees from 1 co. to other.

Section 41(2) of the Companies Act 1956 says that any person other than the subscribers to the memorandum, who agree in writing to become members and whose names are entered in the register of members are members of a company.

Are preference shareholders members of a company? are thier names entered into the register of members?

Can an unlisted Public Limited Company accept deposit from its directors without interest? what are the requirements to be complied with in case if it is accepting deposit with or without interest?

What are the documents which are executed/issued by the company, where common seal must be affixed?????
should the common seal be affixed in the land documents purchased by the company?????

- First BM for Pub. Ltd Co. ?
- Notice for Statutory Meet. and Agenda ?

1.XYZ pvt. Co. converted into a public co. on 31st march 2009. Does the provisions of schedule Xiii of companies act applies on the company.

2. if the Effective capital of the comapny is negative and a remuneration of 200000 per month is being given. Is it against the provisions of coampnies act.

3.What is the Central Govt. Approval is Required.

Previously there was a Scheme called "Simplified Exit Scheme" in 2005
And it was withdrawn on 31.07.2005
This Scheme is applicable to NBFC’s, Section 25 Companies, Collective Investment Management Companies and Government Companies.
Now a Private Company wound up without appointing a Liquidator
