Please provide your expert views on few doubts that I have regarding the appointment of whole time CS in a company u/s. 383A:

1-Should he/she be appointed as an employee-whether full time or part time, or the appointment can be on retainership / consultancy basis?

2-Should separate CS be appointed for every company of the same group or can a single person be appointed for all the companies belonging to a group?

General Manager of a company was sought to be prosecuted for return of a cheque given by the company to its transporter. The General Manager did not sign the cheque. He was also not in charge of the affairs of the company. He was also not issued any notice in regard to the dishonour of the cheque. Under the circumtances can the general manager be prosecuted ????

MCA21 website has made mandatory writing Pin Code in its form for acquiring DIN..Now Hong Kong doesnt have any Postal Code system..And the form is not accepted without Pin Code being written..wht to do??
P.S.-Some websites say 4 digit Pin-code system exists,but its not official.. Thanx in Advance for ur valuable Answers. :)

the companies act says that a notice for AGM should be issued within minimun 21 clear days. suppose a private company in its articles mentions that it would serve a notice 7 days prior to the agm..does it violate the companies act?

A public company want to reissue all its existing share Certificate so

1 Can it be done by passing board resolution or need members approval

2. Can company give new certificate numbered with 1,2,... or need to continue the old series

3. Can distintive no. be give from starting i.e. 1 onwards or need to continue old series

Pls advice with reference of case or section, if possible

in one joint venture private limited company there are two shareholders one is foreign company which has 99 % share holding and other one is director 0f company who has 1 share. Later this one share is also transfer to the company so there exist only one shareholder i.e. foreign company. Is it valid or allowable in company act, India

Should the date of Approval of Balance Sheet, Date of Signing of Balance Sheet and Auditors report date be same, or they should be Different.
