30 January 2010 Yes shares holders approval will be required for payment of remuneration to Managerial person refer part III of Schedule XIII

08 February 2010 From which date the appointment will be effected i.e from date of BOD or Shareholder meeting.
Also whether special resolution to be passed in GM or not.

09 February 2010 Date of Board Meeting is the date of appointment or if any date is specified in BM than that date is effective date for appoitment.

In case of public Co, shareholders approval is mandatory while in private Co. not required
