What is procedure for registration of trade mark.

Dear Experts,

Can an EGM be held in the state other than state of the company's registered office.In our case company wants to hold its EGM outside India.

Please clarify and provide some case laws on this aspects.

in the case of a private limited co. letter for availability of changed name was received from ROC on 25.02.2010.
Please tell me the date of AGM, if Board Meeting held on 26.02.2010 and notice issued to members on same date(Please provide the format of notice). is 21 days notice is necessory for AGM or it may be call at shorter notice.
What will be the date for filing form 23(is it may be file of next day of AGM) and form 1B(is it may be file just after form 23).
Please revert ASAP.

CAN A COMPANY TAKE LOANS FROM PRIVATE PARTIES OR DIRECTORS OR SHARE HOLDERS IN CASH OR CHEQUE MORE THAN RS.20000/-

A company is having Shares of Rs 10 as face value and Rs 90 as premium. I would like to know that whether the company can issue further share of face value Rs 10 but premium of Rs 2000.

Kindly advise us the provisions which governs the issue of shares at a premium ?
