a company invested in equity share warrants. it paid minimum subscription amount and balance was to be paid within 18 months from the date of issue of warrants. subsequently, the investor company was unable to pay the balance amount and the warrants were forfieted. can the investor company transfer forfeiture amount to General reserve a/c. Is there any resolution required to be passed for warrant forfeiture.

We have appointed our CEO as a Director who resigns his position as CEO and holds the position as Director for a shorter period let us say 3months.

We would like to pay the same remuneration which he used to draw as a CEO even though he is a director (please note that other directors are not paid any remuneration)

Please suggest me which is a good option to pay the remuneration - under Section 314 or 309 (sch XIII, 269 etc) as the remuneration is beyond 50000 pm and the company is a private limited company

My Company is a Public Limited Comany.We have accepted Deosits in June 2009 and repaid all the deposits in December 2009. Now i want file a return of deposit .
My Query is that while filing the return figures of which year to be taken ,wether i have to take figures Audited balance sheet 2009 or 2010(which are not audited yet)

Please Provide me format of appointing chartered accountant other than retiring auditor under companies act.

The circular states :- and charging additional fee of 25 percent of
actual additional fee payable for filing belated documents under the
Companies Act, 1956 and the rules made there under

So, if the actual fee is Rs 100 and additional Fee (for delay)is Rs 400 (Total 100+400 =500), HOW MUCH DO WE HAVE TO PAY IF WE GO BY THE SETTLEMENT SCHEME???
