Query Regarding Leave of Absence.


ABC Private Limited was incorporated with 2 First Directors.

Later, the company appointed two Additional Directors, who are foreign nationals.


Query

1. How the company will have its Board Meeting without the presence of NRI Directors ? The 2 First Directors are always available with the company.

Ans : ..................

2. Can the company accept the request from those two NRI directors and grant Leave of Absence ?

Ans : ..................

3. If the request from those two NRI directors is accepted, then for how many meetings, the company shall accept the request and grant leave of absence or there is any limitation like one year or ....... number of meetings ?

One of our company director send his resignation to the companyon 15.09.2009. We have not yet filed form 32 neither any board meeting held to accept his resignation..Wheather his resignation is valid or not

The company filed Form 32 in September 2008 for appointment of 2 Additional Directors in the Board Meeting held on 12.05.08, which is the date of incorporation.

Query

1. Can a company have Board Meeting on the date of incorporation excluding the Item pertaining to the Certificate of Incorporation (as the Incorporation Certificate shall be generally sent by RoC by Speed / Regd Post, which reaches the company after 2 /3 days from the date of incorporation) ?

2. Can a company have Board Meeting on the date of receipt of incorporation recording the Item pertaining to the Certificate of Incorporation ?

XYZ ltd is the public limited unlisted company which is the joint venture of ABC ltd and DEF ltd company.

ABC Ltd demerge its unit whith PQR ltd. So Now XYZ ltd is consider as the joint venture of PQR and DEF ltd.
the Existance of ABC Ltd is there.


Now XYZ want to issue further share capital to PQR and DEF ltd. Is PQR consider as new shareholder or existing shareholder.
Sec 81 or 81 (1A) apply?

In a pvt ltd company if one of the director holds the post of Chairman and Managing Director, how it will affect the authority of other director over the functioning of the Company if the Company has only two members board?

is there any time limit for refund of share application money for a public company which is not listed ??

if yes under which law. i.e company's Act or SEBI Act or any other law ??

if its possible please provide the section ??

Whether a board meeting be held on public Holiday?

Suppose a director ceases as on the date of AGM then whether his shareholding will be included in "Directors/relative of directors" part or will it be a part of "Other top 50 Share Holders" while filling Annual Return pursuant to section 159 of the Companies Act, 1956.

Please clarify that can a non deposit accepting NBFC issue such prefrence shares,where dividend will be payable to pref. shareholders on monthly basis.

Whats rules and regulations will be required to complied with.

Pls provide if u have any checklist on payment of dividend on preference shares.
