CAN THE COMPANY PREPARE ITS 1ST ACCOUNTS FOR THE PERIOD 13/11/08 TO 31/03/2010 i.e. 17 MONTHS. AND IF SO, WHAT SHALL BE THE DUE DATES FOR FILING OF IT RERUN & ROC RERTUNS IN THIS CASE.

292A is applicable to public ltd. having paid up capital of not less tha Rs. 5 crores, but upto which date it is to be comply with suppose x unlisted pub. ltd. co. paid up capital increase in March 3,2010 the formation of audit committee & all compliaces have to be mentioned in annual report of 2009-10????? or it is applicable from the financial year 2010-11?????
what would be the postion if paid capital increase in November 11,2010??????

A Pvt Company is registered with address ABC. After one year the registered office has been changed to address PQR. Which address should appear on share certificates issued within first year and those issued after the change of regd office address? If the share certificates are printed with the original address, can the same share certificates be used for shares issued after the change of the registered office?

I have to form ABC pvt. ltd. co.My question is
1. Can an another pvt.ltd. co. say XYZ Pvt. Ltd. be promoter of ABC pvt. ltd. ?
2. If yes, who will sign on subscribers page of MOA and AOA and whose digital will be attached in Forms?
3. It is our plan to make ABC Pvt. Ltd. a wholly owned subsidiary of XYZ Pvt. Ltd. which will promote it. So at the time of incorporation, is it possible to make XYZ Pvt. Ltd. a promoter of 99.99% in ABC Pvt. Ltd. and one more individual as promoter.
4. Another individual who will be promoter is already director of XYZ Pvt. Ltd. , will it create any problem ?

i want to ask, what is the process to make a company 100 % subsidiary of another company from date of incorporation ?Both the companies are pvt. ltd. co.

The auditor of a Pvt Ltd Co paid up cap( Rs 1.0 lacs) failed to submit Form 23B within 30 days of last AGM but continued in office and audited Books of current period.

Pl advise as to what should be filled in "SRN of Form 23B" while filing Form 23AC?

I want to know what are the special reasons for granting extension to conduct AGM in the application with ROC.

One of the Public Company(defunct company) is not holding AGM for the last 3 years. Now they have decided to hold AGM.
Question: Is is right to say to register that yes we are not holding AGM for last 3 year now we have decided to hold.
Is it necessary for the company to show that yes they are holding AGM in the past 3 years irrespective of the fact that annual return is not filed.
What will be the consequences of not holding AGM. Is there any penalty for that.
Company wants to take benefit of ongoing circular benefit.
