05 August 2010 Hi,
I have to transfer shares in a private limited compony to outside party. Please provide me the process ?
How should I transfer share Certificate to that outside party.
After writing all details at the back of Share Certificate and filling share transfer form with stamp duty, can I give that same share certificate to outside party ?

05 August 2010 yes u have to give the same share cetrtificate only to the outside party if all the no. of shares are bought by the other party.

Otherwise split shares might have to be issued.

Please also pass a resolution for transfer of share as private limited company restricts the right to transfer of shares.

05 August 2010 Verify whether there are any restrictions in the AOA. Generally companies do not provide restrictive covenants unless the company was formed by two groups.

Private company by the very defination states that transfer of shares shall be restricted. So i had stated above to have a copy of the board resolution to be on a much safer side.
