Sir plz tell me how the director's salary is governed in case of pvt' ltd.co. ?

" Mr X, a director of XYZ Pvt Ltd , is 59% stakeholder in it. There are other individual board members also. Is he legally required to declare to the Board that his sister is an employee of the Company ?"

I have some questions. Please send me your answers.

1. Can a private limited company pay monthly/annual remuneration to an Alternate Director? If yes, is there any limit on this payment?

a public ltd. co. provides a corporate guarantee on behalf of a private ltd co. having a common directorship

whether it can be considered as a indirect loan u/s 295 (1) (c) and required a CG approval.

or whether it comes u/s 372A (1)(b)

or whether the co. has to comply the provisions of both this sections

Dear Friends, The following situation happened to a company which is a client of my senior.
The company has appointed one service provider as its Share Transfer Agent. The STA has transferred the shares during the book closure dates.
Is there any possibility to rectify the mistake?
What is the consequence for such act?
The company is a Listed Company & in the AGM no Dividend was declared.

In case of private limited company validity of share transfer form

share transform is of July 2009 date, it is signed by both the parties but till today it has not been stamped/franked, Can I make stamp duty in current date, register the same? will it be valid? If it is not possible what is the alternative way?

Fact of the case
One of my client expired leaving behind will stating that all the shares in private limited company as well as public limited company own by him should be transferred to a private trust which is to be formed as per his will.

Query
1) Whether a private trust can be a shareholder in private limited company.

2) If so what procedure the pvt ltd company has to follow in regards to above.

If a director acts as alternate director to a foreigner. Pl advise do we need to comply with formalities of his appointment and cessation every time the Original director attends the meeting. Is there any way out to reduce the documentation.
