Is it compulsory for a private limited company to appoint a managing director, manager or a whole time director? Please specify section if any..

There is an MOU between a PVT LTD Co. and a proprietary firm which states that the company will receive a deposit of Rs. 100 lacs and will pay an interest @12% p.a.on the said deposit.
My question is
1. Can a pvt ltd company accept the deposit from one of its business associates such as distributor of its product?
2. is it permissible to accept Trade deposit from outsiders u/s 58A and if not, whats the penalty?

2- if one subscriber is foreign company and one is foreign national
3-if both are foreign company
4-if one if is foreign individual and another is indian resident
5- the concept of benificial owner
6- if one if is foreign company and another is indian resident
is there any hard and fast rule for the purpose

we have a business as sole propeitorship the owner of which is mr. A and he has formed a pvt company with his wife to do the same business now what procedure should we follow to acquire the business of sole propeitorship which would attract less formalities and tax

My client is a prop concern and he is willing to convert it to Private Limited Co. Although i advised him not to do so as it will attract higher tax rate. Besides i want to know what are the benefits of a private limited over prop concern. and also tell me the procedure of formation.

Ours is a unlisted public limited Company. We are paying Rs. 60000 p.m. to wife of a non executive director. Kindly let me know what are the compliances to be followed in this regard and what are the forms to be filed? whether it will be counted for limits u/s 198?
