agenda for board meeting

could anyone tell me that agenda for board meeting is compulsory or not and if share transfer is not included in the agenda of board meeting then board of directors are eligble for including share transfer in that board meeting

resolve my query at the earliest

Agenda is basis requirement for any meeting .
As there was no agenda for discuss in board meeting about share transfer it can not be included in the meeting . However if all directors are willing to discuss on that matter than a motion need to passed and all director must agreed thereon .
But if the company are listed company than it can not include any other matter whatever it sent to sebi under listing agreement .

15 April 2011 Section 286 only requires that notice of every meeting of the board of directors of a company shall be given in writing to every director meaning thereby law does not mandate agenda for the board meeting.
However,SS-1 of ICSI says,though recommendatory,that the agenda setting out the business to be transacted at the meeting and notes on agenda should be given atleast 7 days before the date of the meeting.

Since it's not a listed company, subject to consent of all directors you can take up mattters, in addition to those listed in the agenda.

It is also common in the agenda of BM, to include the following as a last item.
"Any other matter with the permission of the Board".
