A private ltd company has to submit the details of shareholders in its annual return submitted to ROC. But if their is any share transfer in between the year does a private limited co has to intimate to ROC by filing any form? Or it is only that in the next Annual return the same has to be reflected?

we want to form a ltd. co. in india along with three company one from pakistan other from America and four individual from india, what extra formalities we have to follow.

Is it legally valid if the promoters itself subcribed 90 % of issued share capital as per prospectus, if a company has not received the minimum subscription from public?
Ex:
M/s.Jk Ltd incorporated with 1 Crore share capital.But issued share capital as per prospectus for Rs.50 Lakh.The promoters of Jk Ltd has taken the shares for Rs.49 Lakh.
Is it legally valid? Sebi will accept the Jk Ltd as listed company.

a private co. abc pvt. ltd wants to convert its status from private to public.
it has some share application money pending allotment. i would like to know whether the co. needs to refund that amount or make allotment in respect of that amount.
OR
the share application money pending allotment does not effect the conversion and neet not be altered???

kindly help me by sending the draft of notice of EGM called on requisition by shareholders. please note that this should be the notice sent by requisitionist to all other members as Company fails to call the meeting within 45 days of receiving the requisition.
