If a company proposes to purchase optionlly/compulsory convertible prefernce shares of a listed entity then will takeover code be trigred ?

i want to know the process of obtaining a copy of MOA of the company.
the Company is incorporated in 1988 so the soft copy is not present on mca portal.

is there any process to obtain physical copy from MCA?
the company is incorporated at Delhi(CGO)

my client having pvt ltd co. his remuneration is 50 lacks.company net profit is for f.y.10-11 is 57 lacks. on above net profit company will pay income tax @ 30% i.e.1710000/ So company PAT Is 3990000/. now f.y.11-12 instead of remuneration my client want 50 lack as dividend.so his personal tax liability become NIL. so can any one please explain me in detail now what is burden of tax on company ?

I opened a new pvt. ltd. company & did company incorporation on dt. 01-03-11, but i want to show my business started from 01-04-11, so it is necassary making a balance sheet of 2010-2011 or not ? & what's the legal working we should do for a smooth working

1. In Pvt Co, a director who is only signatory in co(means only this director have Digital signature)has been proposed for appoint as MD. Board Resolution has been certified by other Director who is also authorized to submit Form 32 in ROC bt he has not digital signature. Can director who has appointed MD can signed digitally FORM 32 himself???

2. IS there hereby need to File Form 25C and Form 23(as it is pvt co)??

If a AGM is Convenend with a Shorter Notice Issued then at What Time the Consent of Shareholders be accorded ,means before all businesses be transcated or when
and pls provide the shorter notice adoption ressolution.
