and pls provide the shorter notice adoption ressolution.

My queary regarding ROC Fees

In Our Pvt Ltd company not file ROC Return on time in last year 2010-11 then our consultant say total fee for Roc Return is 15000 (For Annual Return/ B/S,Compliance Certificate )for 9 Times panelty its any way off for filing late in ROC Return

If company registered with ROC gujarat, can it be possible that company issue share certificate on meeting held at diu & daman for allotment of shares?
Is it valid transation? not ? then what would be legal action by respective authority(company law , stamp act)to penalise?
what amount of penalty can be raised by authority?

What are requirements to be fulfilled for raising loans from directors or members of a pvt.ltd company?
What if loan is higher than paid up capital of company? is there any cap on interest payable in such cases?

Can someone pls urgently mail me / send me the detailed checklist for conversion of a private limited company to a LLP

Dear Members please guide me regarding following query-

In company XYZ there is a casual vacancy in the office of auditors arising due to resignation. Co. appointed Auditors in EGM but didn't file the Resolution for the same. Further Co. called the AGM and is proceeding to file the Annual Return.

Seeking Advice regarding what will be consequences and remedies. Whether co. is liable to pay fine for the default.

Also advise the period within the said resolution was required to be filed.

Please anyone tell me that a legal notice made by a company can be signed by an authorised signatory of the company on behalf of the company
