We are in company for a particular project and after completion of project we will resign from the company, is this additional director ship can protect our 75% share holding in private limited company

IF one listed Company Appointed Auditor in AGM on 17th August, 2011 until the conclusion of next AGM, in the Meantime if they want to Change the Auditors for the next Financial Year and supposed next year AGM will be held on 2nd September. In this case please tell me know who will done the first quarter review audit of Company for the Quarter ended 30.06. 2011 ?? Is there two separate auditors will present in AGM or what is the procedure to solve this ??

Can anyone please tell me that after the notification of MCA regarding the increase of ROC Fees for Form-1A:

now whether after 24th july, 2011, the form-1A after being filed and approved if the name is not adopted by the Company within 60 days then is there no chance to renew the form by filing half of the ROC Fees?

I have a following query, kindly suggest me what to do in following cases?

We got two share transfer forms
a. for transfer of 3,00,000/- shares with a consideration of 1,00,000/-
b. transfer of 10,000 shares without any consideration.

The consideration is based on private arrangement among the share holders. Stamp duty is paid @.25% on that consideration amount. Please let me know in above cases what will be the value of stamp duty.Face value being 10/-, wheather we should register the transfer considering it as properly stamped ?

If there is a transfer without consideration or less consideration, then what will be the minimum satmp duty to be paid?

Dear Experts

I have to file form DIN-4 for the intimation of PAN card no. of Directors as the last date 30th sep is approaching near by and the no of directors for which i have to file this form is around 52.......now my doubts are..


1. in these 52 directors some of them are foreign directors...... so while filing form DIN-4 intimation of which thing is required to be done as they don't have PAN card no's as in case of indian nationals ?



2. is there is any way out on MCA site to get Directors D/O/B , father's name , address , PAN card no's at one place


for Addresses i have used MCA site and got the address details of most of directors....but my main problem is to complile other details of all directors..... for this i have seen form 32 and Annual return of companies also in which they r directors...... but in some cases from Annual return and form 32 filed i didn't get the required and reliable info..... moreover it is time consuming also but i have to do this in a quick time..... i m getting tensed in all this....... pls guide me how and from where to get these detais to finish it off in quick time....

one way is to check e-form 2 which i tried already...... but in register of members of that company somewaht other info is showing..... so my query is which one to refer to know list of allottes.... is there is any way out to check it from MCA website or any other best and reliable option....... i have to check for FY 1 April,2008 - 31 march,09
