i wan to know that whether during the process of conversion of PVT. co. into LLP can PVT. co. can change Description of its proposed activities which is not as per its MOA
Because the pvt. co. has object of trading in shares and stock by having membership of stock exchange but as same is not allowed for llp formation so we need to change the object clause.
kindly advise that whether we can file FORM 1 of LLP for name availability by changing the proposed activities

Is there any restriction towards them because as a doctor they are personally liable for patients but as a director in a company there liability becomes limited.

Company had its AGM on 30.09.11.

Company had certain directors’ appointment and cessation since the date of last AGM and up to the date of AGM 30.09.11.

For example,

A was appointed on 01.06.11 and resigned on 31.07.11.
B was appointed on 01.08.11 and resigned on 15.08.11.
C was appointed on 16.08.11 and resigned on 20.08.11.


Query

As the above Alternate Directors A, B and C were appointed and resigned before AGM 30.09.11, should their details be provided in Form 20B – Page 5 – V. Details of director(s), Managing Director, manager and secretary who ceased to be associated with the company since the date of last AGM.

SIR PLEASE EXPLAIN THE PROCEDURE OF APPOINMENT OF NEW AUDITOR IN THE AGM IN PLACE OF RETIRING AUDITOR WHO IS NOT WILLING TO CONTINUE IN PRIVATE LTD.COMPANY.
