02 December 2011 Dear Friends / Experts,

Please see the following :

ABC Limited is filing Form 20B for FYE 31.03.11.

Company had its AGM on 30.09.11.

Company had certain directors’ appointment and cessation since the date of last AGM and up to the date of AGM 30.09.11.

For example,

A was appointed on 01.06.11 and resigned on 31.07.11.
B was appointed on 01.08.11 and resigned on 15.08.11.
C was appointed on 16.08.11 and resigned on 20.08.11.

Query

As the above Alternate Directors A, B and C were appointed and resigned before AGM 30.09.11, should their details be provided in Form 20B – Page 5 – V. Details of director(s), Managing Director, manager and secretary who ceased to be associated with the company since the date of last AGM.

02 December 2011 According to me In Annual Return the details of Change in Directors since last AGM is to be shown.So you have to Show mention about these Directors in the Annual Return.

02 December 2011 Dear friend, Alternate Directors are appointed according to provisions of section 313(1) of the Companies Act,1956. The provision provides that subject to provisions mentioned in the articles of association of the company or a resolution passed by the company in general meeting, appoint a director in place of a director which is out of state in which meeting of board are held for a period of not less than three months.

In above referred case the details of directors appointed and ceased in between two AGMs should be informed to the ROC by filing Form 32 as well as Annual Return of the Company.
