I want to file form FC-GPR of my Company with RBI. the Inward Remittance Intimation is filed with Authorised Dealer.

Is there any change in Certificate of CA regarding valuation of Shares; pls provide me reference of RBI Circular.

We have not received Unique Identification Number from RBI since 1 month from filing of Inward remittance . Is It possible to file Form FC-GPR without that Unique Identification Number?

ONE OF OUR PRIVATE LIMITED COMPANY HELD ITS AGM ON 09/09/2011 (THIRUVONAM-PUBLIC HOLIDAY FOR KERALA). IS IT A PUBLIC HOLIDAY AS PER SEC 166 OF THE COMPANIES ACT, 1956.

if a person has got a DIN No already, do we

need to apply for a new DIN No. for opening a new company?

A ltd. co. which was incorporated on 20th June 2011 as a group holding co. has a paid up capital of Rs 4lacs wants to pay Rs 8 lacs remuneration per month to its directors. is there any restriction.

In view of amended provisions of schedule xiii. the company can pay remuneration to its directors under schedule xiii by passing a special resolution the erthswhile requirement of approval from CG has been done away with in respect of unlisted companies. However the resilution of remuenration commeitte of directors is must. AM I right.

Can the low capital may pose any difficulty as the effective capital is too low.

Can a Pvt Ltd Co. invest in to shares & Securities of other co.

Hi,

If a member of a Private Company wants to transfer shares to another existing member of the same Company, does the private company need to give notice to the existing members offering the shares first. The Articles provide that the shares cannot be transfered unless it is offered to existing members. Is the formality of offering the shares to the existing restricted to the cases where the shares have to be transfered to an outsider or it is applicable even if it is being transfered to an existing member.

if any co. issue dividend, and this is not debited by bank up to a perios of Six months, can I pass the reverce entry in company books? as assumed that expired of cheque date

What do you mean by Local Limits as mentioned in the Companies Act, 1956,
Because I want to change the Registered office of a company which had its registered office in Kalyan and now want to change in Thane? So is it within the Local limits So as to pass special resolutioin or not????
