Plz provide me a draft resolution for appointment of a cost auditor to our company. (pursuant to the MCA general circular dated 11 April 2011 No: 15/2011 reg appointment of cost auditor)

Dear Expertji,
With reference to email from MCA, I want to update PAN of my client in DIN data, for which I am filing DIN-4. I have filled the form and attached enclosures, now I am doing Prescrutiny, but the following message is displayed:
" The system has identified your application as potentially duplicate, because the combination of any two parameters out of Applicant's name, Applicant father name and Date of Birth are matching with an already filed DIN application form. Do you want to continue with Prescrutiny. ( In case of resubmission please select Yes)".

Please advise how to file DIN-4

should we take 15 months ending date as due date of AGM for AGM Date 10.04.11 ?

ABC private Limited company, having 4 directors. current year 2 directors expired in car accident.company is defaulted in annual filing since 2006 . no one has obtain DIN No. . in this situation how to complete pending annual filing, how to intimate ROC about their death.
