Please.............. clarify


Is it that - if the AGM (i.e. 2nd AGM onwards) is held before 30th September -
then we should consider the due date as 30th September


Ans : ........................ please
confirm


Is it that - if the AGM (i.e. 2nd AGM onwards) is held after 30th September -
then we should consider the due date as '15 months ending date'


Ans : ........................ please confirm

13 December 2011 When the 2nd AGM is held that will be the due date
1.there shall not be gap of not more than fifteen months between two AGMs
2.There shall be one AGM in each calender Year

My case is :

FYE 31.03.09 - AGM DT 30.09.09 - Due DT - 30.09.09

FYE 31.03.10 - AGM DT 10.04.11 - Due DT - 30.09.10 or should we take 15 months ending date as due date of AGM

FYE 31.03.11 - AGM DT 17.11.11 - Due DT - 30.09.11 or should we take 15 months ending date as due date of AGM

Based on the above details, kindly clarify me to understand.

13 December 2011 The AGM should be held within the close of financial year and not 15 months elapse between the two AGM.

In case of your first query..
if your financial year is ending on 31st March, then the due date is 30th September provided that the gap of 15 months should not exceed from previous AGM


13 December 2011 15 months is reconked from the last AGM not from the due of the AGM

13 December 2011 Can I conclude my understanding in the following manner :

All the following AGMs were held as per the dates mentioned

FYE 31.03.09 - AGM 30.09.09
Due DT of AGM 30.09.09 (Gap within 15 months between the previous AGM)

FYE 31.03.10 - AGM 10.04.11
Due DT of AGM 29.12.10 (Gap excess of 15 months)

FYE 31.03.11 - AGM 17.11.11
Due DT of AGM 09.04.12 (Gap within 15 months)

Please confirm the Due Date of AGMs for my understanding.

14 December 2011 To figure out the last/due date of subsequent AGM, please determine the following 3 dates:

1. 30 Sept (6 months from the date of end of f.y. as per section 210)
2. 15 months from the date of last AGM as per section 166.
3. 31 December (One AGM in each calendar year u/s 166)

The date earlier of the above dates will be the due date for AGM.
