Is there any restriction on taking share holder loan in a Indian Private Limited? The share holder is widow 64 year person.Would she be exempted from the TDS when from interest payment by the company? Is there any bar from shareholder to loan more than the company net worth?

my query are as below:
1. Is it mandatory that the statutory auditors of a company to be present in such a board meeting(preferably one before the AGM) in which the annual financial accounts and statements are adopted and approved by the board?
2. is it mandatory for the statutory auditors to be present in AGM of that company?

Sir / Madam,
one of our director is director in one default company for non-filing of Annual Return (Annual Return is pending due to non-filing of DIN 3 as they have some internal dispute of signing and for that signature is not done on DIN 2 Form as DIN 3 is pending), as our director is in defaulter list coz of that, so we want to resign our director from that Company. but because of default that Company is cant file form 32 for resignation. and if form 32 is not file our director cant give resignation from that Company. what is the way for this situation.

other question is abovesaid default director wants to open new Pvt. Ltd. Company, as he already is in default is there is any way that he can be director in the new Company. Pls Suggest - Pratidnya

We have company and appointed directors in that company. We need to prove that the directors hold shares in that company. What can be used as a solid proof for the same?

an employee getting remuneration in a pvt limited company is also the director of the same private limited company. does he become the Managing Director?

Whether it is applicable for F.Y. 2011-12.

And if it is applicable to all private company...
1. whether all the column/item are required to be completed as " Nil value" if there is no/nil valve (ZERO value) regarding perticuler column/item of of revised schedue VI.

I want to know the place where stamp duty to be paid. If the Registered office of the company is in Delhi.But Board Meeting for allotment of shares are held in Gurgaon i.e. Corporate office of the Company.

Plz. suggest me the solution and also the rate of stamp duty to be paid in Delhi
