Is any change in auditors, Directors reports of a Pvt. Ltd. Co. from the F.Y. 2011-12 after revised Schedule VI. If yes pl. give the draft copy of both reports.
Secondly, is it mandatory to file form 23B every year even the auditor is same.

Does Form 25A apply to payment of Rs. 50,000/- each to the Directors of the private company?

Can a Director be appointed as Managing Director on date of incorporation of the Company?

Kindly inform me that what is the time limit to allot the shares to the shareholders after receiving the share application money for a Unlisted Company.

Also guide me for the steps to be taken for this purpose?

Foreign company owns more than 50% shares in indian company through its fully owned company in india and wants to transfer all shares to its another fully owned off shore company.
* Will it attract capital gain?
* Will transfer of share be at amrket value or transferor and transferee can mutually decide?

There is a public company having Rs. 50 lac as Authorised Capital. Can the company issue 500000 (five lac) shares of Rs. 10 each at a premium of Rs 40/- each? in this case:

1. What are the approvals does it have to take before such issue?

One of my client wants to remove the previous auditor who has audited the books for FY 2010-11 for audit of FY 2011-12. Is it possible to change a statutory Auditor appointed in AGM of a company otherwise than by taking permission of Central Government.

Company is formed on 26 march 2012.
Is company required get to audited for year ended 31 march 2012 and all compliances of ROC needs to be done ???
What if company chooses to have its first accounting year till 31 march 2013???

Private Limited abbreviation is written as Pvt Ltd / P. Ltd etc.. Is it allowed as per Companies Act or is there any circular on this??
