I intend to form an LLP. Form 2 was approved on 28/09/2012 and incorporation certificate was obtained on the same day.

But LLP Agreement was made on 10/09/2012.

Please clarify whether I have to make a fresh LLP agreement or the same can be filed in form 3.

I have resubmitted E Form-1 for incorporation of company.My problem lies that i opened the old form and removed old AOA and MOA,attached new one with rectification,checked form for any error,Affix digital signature,did prescrutiny and file it directly without closing that file in desktop.

i am confused whether the old file is again submitted?

Pvt. ltd. company who are entitaled tax concession under section 80IA of income tax act. whether the provision of section 115JB is also applicable ?

that is book profit as calculated as per company act are liable for tax under section 115JB while the company enjoyes tax benifits U/S 80IA.

We have wrongly shown our authorised capital(Rs 1000000) as paidup capital(Rs 989000) for F.Y.2010-11 in form 20B furnished to ROC.Consequently the company master data is showing paid up capital as authorised capital although we haven't filed any Form-2.Please tell me how to rectify the company master data to show paid up capital as Rs 989000.

is there any option to know authorized share capital of a unlisted ltd company ?

A private company has previously opened a bank account for payment of dividend for year end 2011.

Now, the company has declared dividend for year end 2012 , Can the company make that previous dividend account active or it is mandatory to have separate bank account for each such payment of dividend ?

can any explain point 111 20b annual returns of the that how much percentage show in that column & what basis.
