What is the difference between proxy and nominee for attending AGM as per The companies act 1956.

In a company there are 4 directors, they dont have any share capital. All equity is held with 2 shareholders equally. in Extra ordinary General meeting sharehoder takes a decision of expelling all the directors and to introduce 2 new directors, Now my question is that now who is authorised to digitally sign the e-forms submitted to ROc as old directors have been resigned and new directors are yet to be appointed.

Whether new forms have been uploaded on mca website?
There are 4 pvt companies.
I have filed its annual return mentioning AGM date as 31st August;2012.
But I am not able to upload BS and P&L as it is showing that new forms have to be filed.
Do I have to file these 2 forms before 30th September?
But how is it possible to file as they have not uploaded new forms?
What are the consequences if it is filed after 30th September?
Please tell me.

My company want's to shift its registered office from Pune Roc to Mumbai ROC.

So please can anyone tell me the procedure of shifting of reg. office from one ROC to another ROC.
and also tell me that whether in this procedure notice in newspaper should be given and if yes in which city?- ie PUNE or the city where the company want to shift the reg. office.

Dear members,

What if the company had accepted interest free deposit for more than 36 months.

Is there is any penalty or compliance.

The company cannot refund the amount neither the depositor demanding for the same.

But what compliance the co. should make to comply the provisions of law.

Where can i find Annual Return as per Schedule V to be attached to Form 20B? Is it revised according to Revised Schedule VI??
