The Auditor has resigned from a pvt ltd company due to personal incompetence. the BOD has approached a new auditor to fill the casual vacancy & he has accepted it.

What are the compliance procedure for MCA Filings for both company & new Auditor.

As a CS of a Private Limited Company, is there any importance/ merit in keeping copy of the employment agreement of the WTD, MD, and other KMP like CFO in our custody?

This question is because an agreement is not mandated by Companies Act 2013 for Private Companies, but it is obvious that such appointments operate under some agreement only (maybe with HR Dept.).

Please advice, how to tackle this situation. I am a fresher joined as CS in a Private Limited Company.

When I tried to register DSC in MCA Portal,I click on Select Certificate but it is not opening means browsing of my digital signature not done.I done all changes as said in mca site in internet options and also installed latest version of java 8 update 66 but my problem does not solved..

A LIMITED COMPANY IS HAVING SIX DIRECTORS AND THEY WANT TO REMOVE TWO OUT OF IT. THERE RE SOME MISUNDERSTANDING BETWEEN THE FOUR DIRECTORS AND THE OTHER TWO DIRECTORS SO THEY DECIDED TO REMOVE THEM FROM THE POST OF DIRECTORS. THE TWO DIRECTORS ARE NOT WILLING TO RESIGN. HOW CAN WE REMOVE THEM UNDER COMPANIES ACT, 2013?

Kindly assist on following thing
i filied DIN Application and at the time of Prescrutiny the form says that " The system has identified your application as potential duplicate based on name, Father's name and DOB"
But the applicant was not file any application earlier(The same was clarified by Applicant and Me also checked on MCA site)
Lastly Application was Filled

But in MCA Portal DIN Application Status shows appproved and Certificate was unable to Download

What can i do now?
Note: Application filed on 05/11/2015

We have a private limited company having 2 directors. One of the directors want to resign from the company. Can he file form DIR-12 for the same? Will the DIR-12 get approved? Is the above possible because after his resignation only 1 director will remain? What is the time limit to appoint for the new director if any?
