Can MR-1 b filed on the basis of Board's Resolution or Shareholders Resolution is also necessary to file it?

It is indirectly necessary to file Shareholders Resolution. Because if you see the form, there is one field which asks 'whether shareholders approval is taken or not'. If you select yes, then it will be mandetory to attach this resolution.
