If only one director had attend the meeting through video conferencing but due to some unavoidable circumstances recording was not done. so is vote of director is valid??
is there is any consequences of non recording of video conferencing ??
Kindly reply according to section, provisions, and rules under companies act 2013 and SS-1.

Dear sir,

Can you please suggest me what are the contents of overtime register to be maintained in a factory under Factories Act, 1948.

One of the directors of Pvt. Ltd. Company has sold the corporate office which also used to be his residence without permission of board of directors and without informing ROC.How to file IT returns and other government liabilities as company was in compliance of section 128 kept all records there including some stock and c forms and other important documents too.What is the remedy available to other directors of the company to compliance the above section and fulfil their duties as director of the company.What action can be taken against director who has not only sold the corporate office to builder but also demolished the old structure.

Timing in case of agm

Timing of Annual general meeting is between 09.00 A.M to 06.00 P.M. WHETHER MEETING CALL IN BUSINESS HOURS I.E. 06.00 P.M. MAY BE CONTINUE EVEN AFTER BUSINESS HOURS?????????

RESPECTED SIR,
AN UNLISTED LIMITED COMPANY IS HAVING PAID UP SHARE CAPITAL 100000 SHARES OF RS. 100/- EACH AGGREGATING TO RS 100.00 LACS. ALL THE SHARES IS IN THE NAME OF ITS DIRECTORS ONLY. THE FAIR MARKET VALUE OF SHARES AS ON DATE IS RS. 130.00 PER SHARE.
SIR, THERE IS NEED OF FUND IN THE INDIVIDUAL FILES OF DIRECTORS, BUT THERE IS NO FUND.
SIR,AS THE COMPANY CAN NOT GIVE ADVANCE TO ITS DIRECTORS WANTS TO BUY BACK OF ITS SHARES.
SIR WHAT WILL BE THE PROCEDURE OF BUY BACK AND WHAT WOULD BE TAX TREATMENT IN THE HANDS OF DIRECTORS AS WELL AS ON THE COMPANY

one of the shareholder of my company is a xyz company whose name was changed recently now that xyz company has requested to change its name on share certificate.

what is the procedure to change name of the company on share certificate and whether stamp duty its required to be paid or not on issue of new share certificate ???

When llp agreement is to be made

Sir

We are getting name approval ,from LLP authority

now we have to file Form 2

My question is when we have to prepare LLP Agreement and File Form 3
After filing Form 2 or before filing form 2?

what is indemnity clause ?
dose we have to make Any indemnity bond from each partners?
