We have 2 companies, one is a pvt ltd company and other is a proprietary firm. We now want to make them as one company by our Pvt Ltd company taking over/acquiring the Proprietary Firm. Kindly let us know the procedure for the same.
Or else can you please suggest us some better way of diluting the Proprietary firm and to make it a part of the Pvt Ltd company.

I am private limited company, I want to appoint Director, whether I can appoint executive director in the Board meeting itself or else i have to first appoint Additional Director in the Board Meeting which will further confirmed by members EGM or AGM to appoint as Executive Director. 2ndly, whether F.32 needs to be filed on every time of appointment.
Mr A Chartered Accountant is a director of a company named xyz ltd and he also partner of AB& CO Chartered Accountants.
AB & CO appointed as a nternal auditor of xyz limited.
In the above the Sec 314 will apply or not??

Creation of charge has to be registered with ROC within 30days.
permission of Company Law board is not necessary if it is registered within 7 days from the end of the 30days period.
The ROC can accept the registration within 30days immediately after the initial 30days period if, they are satisfied with the reply given by the co. for the delay.
1. My doubt is, if there is a delay in registration by 40 days, does it need to get permission from the Company Law Board.
2. Does, it is not possible to register the charge after 60 days from the date of creation?
3. What will be the procedure if a Registration of charge is delayed by 35days, 38 days, 65days and 70 days?
