Stamp duty on Share Certificate

Dear All,

Ours is a public limited non-listed company. We are going to issue shares through private placement. My querries are:
1) What is the rate of stamp duty to be paid on share certificate
2) Can we pay stmap duty by franking share certificate? Is it legal to frank share certificate? If not than what is the way to pay stamp duty on sharecertificate?
3) Stamp duty is to be calculated on paid up value or paid up + primum?

Secttion 165

Section 165 provides that a statutory meeting has to be held within a period of not less than one month nor more than 6 months from the date on which the company is entitled to commence business

how does it differ from saying that statutory meeting should be held within 6 months from the date on which the company is entitled to commence business?

e-filing on mca.gov.in

hello friends
i am unable to upload forms to the mca website. i have downloaded the java software from the website and also other softwares ie. internet explorer and adobe reader are as per requirements. when i click upload e-form the page opens but it shows applet loading failed. please help me as soon as possible.

Dear Sir,

We need to pull out a director from the board of one of our portfolio companies.

He was inducted on the board of the Company some where in 2001 & now we don't have any idea regarding his whereabouts.

He is not traceable at all & he don't even have a confrimed DIN.

Can you please suggest some other alternative by which we cah pull him out of the Company.

As we need to withdraw his directorship on a priority basis, an early response from your side will be highly appreciated.
